Acceptance of Terms These Terms of Service ("Terms") govern access to and use of the Hall Pass System and related services (the "Service") provided by Shenaniganz Studio, LLC ("Company", "we", "our", or "us"). By accessing or using the Service, the user or organization ("Customer") agrees to be bound by these Terms. If the Customer is using the Service on behalf of a school, school district, or educational institution, the Customer represents that they have the authority to bind that organization to these Terms. If the Customer does not agree to these Terms, the Service may not be used. Description of the Service The Service provides a web-based hall pass management platform intended for use by schools to manage and monitor student movement within school facilities. The Service may include administrative dashboards, teacher interfaces, student pass request tools, reporting tools, and related functionality. The Company may modify, update, or improve the Service at any time. License to Use the Service Subject to compliance with these Terms, the Company grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal educational and administrative purposes. The Customer may not: • Reverse engineer or attempt to extract the source code • Resell or sublicense the Service without permission • Use the Service for unlawful purposes • Interfere with or disrupt the operation of the Service All rights not expressly granted remain the property of Shenaniganz Studio, LLC. Ownership of Intellectual Property The Service, including all software, design, text, graphics, logos, and underlying technology, is the exclusive property of Shenaniganz Studio, LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of the Service to the Customer. Customer Responsibilities The Customer is responsible for: • Managing user accounts and credentials • Ensuring appropriate use by staff and students • Maintaining compliance with applicable education and privacy laws • Ensuring that information entered into the Service is accurate The Company is not responsible for how the Service is used by the Customer. Student Data and Privacy The Service may store limited student-related information necessary to operate the hall pass system, such as student identifiers, names, locations, timestamps, and pass history. The Customer retains ownership of all student data entered into the Service. Shenaniganz Studio, LLC acts as a data processor and stores data solely for the purpose of operating the Service. The Company does not sell student data or use student data for advertising purposes. FERPA Compliance The Service is intended to assist schools in managing operational processes but does not replace the Customer's responsibility to comply with applicable student privacy laws, including the Family Educational Rights and Privacy Act (FERPA). The Customer is responsible for ensuring that their use of the Service complies with all applicable federal, state, and local regulations. Availability of Service The Company will make reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond the Company’s control. Disclaimer of Warranties The Service is provided on an "as is" and "as available" basis. Shenaniganz Studio, LLC makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not guarantee that the Service will be free from errors, interruptions, or security vulnerabilities. Limitation of Liability To the maximum extent permitted by law, Shenaniganz Studio, LLC shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, operational disruption, institutional damages, or lost revenue. In no event shall the total liability of Shenaniganz Studio, LLC exceed the total amount paid by the Customer for the Service during the twelve (12) months preceding the event giving rise to the claim. Indemnification The Customer agrees to indemnify and hold harmless Shenaniganz Studio, LLC, its owners, employees, and affiliates from any claims, damages, losses, or legal expenses arising from: • misuse of the Service • violation of these Terms • violation of applicable laws or regulations Termination The Company may suspend or terminate access to the Service if the Customer violates these Terms. The Customer may discontinue use of the Service at any time. Upon termination, access to the Service may be revoked and stored data may be deleted according to the Company’s data retention policies. Modifications to Terms Shenaniganz Studio, LLC reserves the right to modify these Terms at any time. Updated Terms will be posted on the Service website with the revised effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms. Governing Law These Terms shall be governed by and interpreted in accordance with the laws of the State of Ohio, without regard to conflict of law principles.
